When conducting business internationally, it is important to be able to identify and address corruption risks. To address corruption risks, it is important for your company to be able to conduct effective, scaled due-diligence exercises. Because liability under the FCPA can be established based on constructive knowledge, a party to an international transaction needs to identify actual and potential compliance red flags before proceeding with a transaction. That way the party can determine whether to proceed with the transaction and, if so, how to address the red flags identified during the diligence exercise.
